Intuitive Machines, Inc. has announced a major step in expanding its space infrastructure business. The company has entered into a definitive agreement to acquire Goonhilly Earth Station, one of the most important commercial deep-space communications providers, together with related U.S. operations operating under COMSAT. The deal is designed to strengthen Intuitive Machines’ space-to-ground network and support future missions in lunar, cislunar and deep-space environments.

How much will Intuitive Machines pay for Goonhilly Earth Station?

According to the company’s SEC filing, the UK portion of the acquisition is valued at £37 million. The consideration is split equally between cash and stock. The stock component consists of 960,649 shares of Intuitive Machines Class A common stock, while the cash portion also includes a £592,621.50 escrow deposit.

The deal is not yet fully closed. Completion depends on several regulatory and operational conditions, including clearance under the UK National Security and Investment Act, approval from the U.S. Federal Communications Commission, completion of a U.S. reorganization, and specific property, environmental, tax and employee-benefit requirements. These conditions must be satisfied or waived within six months of the share purchase agreement, unless the parties agree to extend the deadline.

Why is Goonhilly important for Intuitive Machines?

Goonhilly Earth Station is a strategic asset in the growing market for lunar and deep-space communications. Intuitive Machines said the acquisition is expected to add 44 antennas to its infrastructure, increasing network availability and improving spacecraft communication and control capabilities.

The company’s long-term goal is to build an integrated space-to-ground network combining lunar data relay, ground stations, communications, data transport, and position, navigation and timing services. Goonhilly’s UK location is expected to improve visibility across major Earth-viewing arcs, creating more contact opportunities for lunar and deep-space missions.

The acquisition will also bring Goonhilly’s Lunar and Deep Space Communications, Commercial Satcom, and Defense and Security divisions into Intuitive Machines’ broader infrastructure platform. This fits the company’s strategy of becoming a more complete provider of space services for commercial, civil and national security customers.

The deal comes after strong Q1 2026 results

The acquisition announcement came alongside strong first-quarter 2026 results from Intuitive Machines. The company reported record quarterly revenue of $186.7 million, nearly three times higher than the previous year. Growth was supported by the recently completed acquisition of Lanteris Space Systems and continued execution on NASA and defense-related work.

Intuitive Machines also reported positive adjusted EBITDA of $2.7 million, marking an important profitability milestone. Its contracted backlog reached approximately $1.1 billion, up by about $842 million from the end of 2025.

Management reaffirmed its full-year 2026 outlook, expecting revenue between $900 million and $1 billion and positive adjusted EBITDA for the year.

A broader consolidation strategy in space infrastructure

The planned Goonhilly acquisition follows Intuitive Machines’ $800 million acquisition of Lanteris Space Systems, which closed in January 2026. That transaction helped transform the company into a more vertically integrated space prime contractor serving commercial, civil and national security space initiatives.

With Goonhilly and COMSAT, Intuitive Machines is moving further beyond lunar landers alone. The company is positioning itself as a provider of infrastructure needed to support the next phase of the space economy: communications, navigation, data relay and mission operations.

The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions and regulatory approvals.

For Intuitive Machines, the deal could become another important building block in its strategy to connect spacecraft, lunar missions and deep-space operations through a resilient commercial network.
